Terms governing use of the Cargovate platform.

This document was prepared as a working text and has not been reviewed by counsel. It must be checked against our actual processing, retention periods and any GDPR/UK-GDPR obligations before it is relied on. Where it differs from a signed agreement, the agreement governs.
What governs what
These terms cover your use of this application. The paid service itself is governed by the written agreement between Cargovate LLC and your organisation. Where the two differ, that agreement governs.
Your account
Accounts are issued to a named person and are not to be shared. You are responsible for what happens under your sign-in, which is recorded against you in the audit trail. Tell us promptly if you believe a credential has been compromised.
Subscriptions and billing
Subscriptions are monthly or annual (an annual term is ten months' price, paid up front) and renew for the interval you chose until cancelled. You pay by card, or by invoice by its due date. Cancelling takes effect at the end of the period you have already paid for — you keep access until then. Prepaid terms, including annual terms, are non-refundable.
If a payment is late or fails, access continues and owners see a reminder. If it is not resolved we may cancel the subscription; the account then becomes read-only — you keep full access to read and retrieve your data, rather than being locked out or having it deleted.
Acceptable use
Do not attempt to reach another organisation's data, probe or interfere with the service, or use it unlawfully. Do not upload material you have no right to process.
Availability
We work to keep the service available and will give notice of planned maintenance where we reasonably can. Any committed availability target lives in your agreement, not here.
Your data
Operational data your organisation enters remains yours. Records created on your behalf stay yours even if a partner acting for you stops doing so. While your account exists — including while it is read-only for non-payment — you keep full read access, and your organisation's owners and administrators can export it from within the product: all of your organisation's records as a single file, any part of them as a spreadsheet-ready CSV, and every uploaded document as one archive with a manifest of its fingerprints. Passwords, access keys and other credentials are not included. If you cannot export your data yourself, ask us and we will provide a complete copy.
Intellectual property
The software, its design and its marks belong to Cargovate LLC or its group. You are licensed to use the service, not to copy, republish or exploit it.
Liability
To the fullest extent permitted by law the service is provided without warranties beyond those in your agreement. Nothing here excludes liability that cannot lawfully be excluded.
Governing law
To be confirmed at legal review, against Cargovate LLC's state of registration.
